Please read these Terms carefully before using the Dinelyy platform. By accessing or using our Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using the Dinelyy platform — including our web application, mobile interfaces, APIs, and any associated services (collectively, the "Service") — you ("Customer", "you", or "your") agree to be bound by these Terms and Conditions ("Terms"). If you are entering into these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity.

If you do not agree to these Terms, you may not access or use the Service. Your continued use of the Service following any modification to these Terms constitutes your acceptance of those modifications.

2. Description of Service

Dinelyy provides a cloud-based restaurant operations platform that includes QR-powered self-service ordering, kitchen display systems (KDS), table management, staff dashboards, payment processing integrations, multi-branch management, and analytics ("Service"). Features vary by subscription plan.

We reserve the right to modify, suspend, or discontinue any part of the Service at any time, with or without notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

3. Account Registration & Security

To access the Service, you must create an account by providing accurate, complete, and current information. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.

You agree to (a) notify us immediately of any unauthorised use of your account or any other breach of security, and (b) ensure you log out of your account at the end of each session. Dinelyy will not be liable for any loss or damage arising from your failure to comply with this obligation.

You may not use another person's account without their express permission. Accounts may not be shared across multiple individuals unless explicitly permitted by your subscription plan.

4. Subscriptions & Billing

Dinelyy offers subscription plans (Starter, Growth, Enterprise) billed monthly or annually. All fees are stated in USD unless otherwise specified and are exclusive of applicable taxes, which you are responsible for paying.

Subscription fees are non-refundable except as expressly set out in these Terms or required by applicable law. We reserve the right to change our pricing at any time; changes will be communicated at least 30 days in advance and will take effect at the start of your next billing cycle.

Failure to pay fees may result in suspension or termination of your access to the Service. You authorise us (or our payment processor) to charge your payment method on the due date for all fees and taxes associated with your subscription.

5. Free Trial

We may offer a free trial period of up to 14 days ("Trial Period") for new accounts. During the Trial Period, the Service is provided "as is" without warranty of any kind. We reserve the right to modify or terminate the Trial Period at any time without notice.

At the end of the Trial Period your account will automatically transition to a paid subscription for the plan you selected, unless you cancel before the Trial Period ends. If you do not provide payment information before the end of the Trial Period, access to the Service will be suspended until valid payment information is provided.

Each restaurant entity is entitled to only one free trial. Attempts to circumvent this restriction (e.g., by registering multiple accounts) may result in immediate termination of all associated accounts.

6. Acceptable Use Policy

You agree not to use the Service to: (a) violate any applicable law or regulation; (b) infringe the intellectual property rights of any third party; (c) transmit any unlawful, harassing, defamatory, or fraudulent content; (d) upload malicious code, viruses, or any software intended to damage or interfere with the Service; (e) attempt to gain unauthorised access to our systems or networks; (f) use automated means to scrape, crawl, or extract data from the Service without our prior written consent; or (g) resell or sublicense the Service without authorisation.

We reserve the right to suspend or terminate access to the Service for any Customer who violates this Acceptable Use Policy, at our sole discretion and without prior notice.

7. Intellectual Property

The Service and all content, features, and functionality — including but not limited to software, text, graphics, logos, icons, and user interfaces — are and will remain the exclusive property of Dinelyy Technologies Pvt. Ltd. and its licensors. Nothing in these Terms grants you a right to use any trademark, trade name, service mark, or logo of Dinelyy Technologies Pvt. Ltd..

We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Service solely for your internal business operations and in accordance with these Terms.

You retain all rights to the data you upload or generate through the Service ("Customer Data"). You grant us a limited licence to process Customer Data solely for the purpose of providing and improving the Service.

8. Data & Privacy

Our Privacy Policy, available at https://www.dinelyy.com/privacy, describes how we collect, use, and share information about you when you use the Service and is incorporated into these Terms by reference. By using the Service you agree to the collection and use of information in accordance with our Privacy Policy.

You are responsible for obtaining all necessary consents from your customers, employees, and other individuals whose personal data you process through the Service. You shall ensure that your use of the Service complies with all applicable data protection and privacy laws, including but not limited to the Information Technology Act 2000 and the Digital Personal Data Protection Act 2023 (India).

We implement industry-standard security measures to protect Customer Data. However, no method of transmission over the internet or electronic storage is 100% secure, and we cannot guarantee absolute security.

9. Service Availability & SLA

We target 99.9% monthly uptime for the Service, excluding scheduled maintenance windows (communicated at least 24 hours in advance) and circumstances beyond our reasonable control. Actual availability is published on our status page.

In the event of a verified outage exceeding the SLA target in a given calendar month, eligible paid subscribers may request a service credit of 5% of their monthly fee per hour of excess downtime, up to a maximum of 30% of the monthly fee. Credits must be requested within 30 days of the incident and are your sole remedy for downtime.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL DINELYY TECHNOLOGIES PVT. LTD., ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES — INCLUDING LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION — ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING UNDER OR RELATED TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL FEES PAID BY YOU IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) INR 5,000.

11. Indemnification

You agree to defend, indemnify, and hold harmless Dinelyy Technologies Pvt. Ltd. and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with (a) your access to or use of the Service; (b) your violation of these Terms; (c) your violation of any third-party rights, including intellectual property or privacy rights; or (d) any Customer Data you submit through the Service.

12. Termination

Either party may terminate these Terms at any time. You may cancel your subscription by following the cancellation process in your account settings or by contacting our support team. Cancellations take effect at the end of the current billing period; no partial refunds are issued for unused time.

We may suspend or terminate your access to the Service immediately, without prior notice, if we reasonably believe you have violated these Terms, or if required to do so by law. Upon termination, your right to access the Service ceases immediately. We will retain your Customer Data for 30 days following termination, after which it will be permanently deleted, unless required by law.

13. Modifications to Terms

We may update these Terms from time to time. When we make material changes, we will notify you by email (to the address associated with your account) or by posting a prominent notice in the Service at least 15 days before the changes take effect. Your continued use of the Service after the effective date of the revised Terms constitutes your acceptance of those changes.

14. Governing Law & Dispute Resolution

These Terms are governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions. Any dispute arising from or relating to these Terms or the Service shall first be subject to good-faith negotiation between the parties for a period of 30 days.

If the dispute cannot be resolved through negotiation, it shall be submitted to binding arbitration in accordance with the Arbitration and Conciliation Act, 1996 (India). The place of arbitration shall be Mumbai, Maharashtra. The language of arbitration shall be English. Nothing in this clause prevents either party from seeking emergency injunctive relief in a court of competent jurisdiction.

15. General Provisions

These Terms, together with our Privacy Policy and any order forms or addenda, constitute the entire agreement between you and Dinelyy Technologies Pvt. Ltd. with respect to the Service and supersede all prior agreements, representations, and understandings.

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations freely.

The Service is operated from India. We make no representation that the Service is appropriate or available in other locations. Those who access or use the Service from other jurisdictions do so at their own volition and are responsible for compliance with local law.
